Terms of Service

Ledgitify is a web-based cost allocation and budget reporting service that connects to cloud accounting packages (including Xero) and provides project-level budget tracking, allocation, and reporting capabilities.

The Service is designed for use by organisations and individuals for lawful business and financial management purposes.

To use the Service, you must create an account and provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.

If you are creating an account on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

Free trial. New organisations receive a 30-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

Subscription plans. Paid subscriptions are available on a monthly or annual basis. Annual subscriptions are charged upfront and receive a 20% discount compared to monthly billing.

Billing. Subscriptions are billed through Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel. All amounts are in Australian dollars (AUD) unless otherwise stated.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.

Failed payments. If a payment fails, we will notify you by email and attempt to retry the charge. If payment remains outstanding, access to the Service may be suspended.

Plan limits. Each subscription plan includes specific limits on features (e.g. number of active projects). If you exceed your plan limits, you will be prompted to upgrade. We reserve the right to enforce plan limits at any time.

Certain features of the Service (the AI Budget Assistant) require AI credits. Credits are purchased separately through one-time payments processed by Stripe. Credits do not expire and are non-refundable. Credit balances are shared across all users in an organisation.

We reserve the right to adjust credit pricing at any time. Purchased credits are honoured at the rate at which they were purchased.

By connecting your Xero organisation, you authorise us to access your Xero data using the permissions you grant during the OAuth authorisation flow. We access only the data necessary to provide the Service and do not modify your Xero data.

Your use of Xero and any other third-party services connected to Ledgitify is subject to the terms of service of those third parties. We are not responsible for third-party services.

You retain ownership of all data you input into the Service, including budget information, allocation records, and uploaded files. By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.

You are responsible for ensuring that any data you upload or connect to the Service complies with applicable laws and does not infringe the rights of third parties.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to the Service or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Use automated scripts to access or scrape the Service without our prior written consent
• Resell or sublicense access to the Service without our prior written consent

The Service and its original content (excluding user data) are and will remain the exclusive property of Ledgitify and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Financial disclaimer. Ledgitify is a budget tracking and reporting tool. It does not provide accounting, tax, legal, or financial advice. Budget figures, reports, and AI-generated responses are for informational purposes only. You are solely responsible for the accuracy of the data you enter and for any financial decisions made based on information from the Service. We strongly recommend you consult a qualified accountant or financial adviser for advice specific to your circumstances.

R&D Tax Incentive disclaimer. The R&D Tax Incentive module is a tracking tool only. Ledgitify does not determine whether any expenditure is eligible for the Australian R&D Tax Incentive. Eligibility is a legal question that must be determined by your tax adviser. We make no representation or warranty that any expenditure tracked through the R&D module will qualify for any tax benefit.

To the maximum extent permitted by applicable law, Ledgitify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Ledgitify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive termination.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. If you continue to use the Service after the effective date of updated Terms, you accept the updated Terms.

These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
